A regional headquarters makes decisions for the region: it sets budgets, approves investments, coordinates subsidiaries, and reports to the parent company. That role distinguishes it from an operational hub or a shared services center, which execute processes. Before deciding where to locate it, it is important to define what type of regional structure is being created.

Three regional structures that are often confused

Regional headquarters. It manages, coordinates, and makes decisions for the region. It centralizes functions such as regional management, finance, legal, and human resources.

Operations hub. It oversees regional Operations s and makes decisions within its scope. Its typical functions include logistics, procurement, and technology.

Shared Services Center. It carries out support processes and does not make decisions on behalf of the region. Its typical functions include accounting, payroll, and accounts payable.

Many companies combine all three within the same country. Having them on the same site simplifies coordination and oversight.

What types of employees are typically found at a regional office?
  • Regional Management and its Strategy Team.
  • Regional Finance: Regional CFO, Treasury, Planning and Control.
  • Legal and compliance, with knowledge of various jurisdictions.
  • Regional Human Resources: Compensation, Talent, and Culture.
  • Technology: architecture, cybersecurity, and data governance.

They are senior-level professionals who are bilingual or trilingual, and in many cases, they combine local talent with executives transferred from other countries.

The bottom line: Headquarters has to make the decision from Uruguay

A regional headquarters in a free trade zone provides management services to overseas subsidiaries. For this structure to be sound, management must take place in Uruguay:

  1. People with real authority stationed at headquarters—not just those in formal positions.
  2. Documented decisions in Uruguay: management meetings, approvals, and reports.
  3. A business plan consistent with the functions set forth in the user agreement, as required by Law 19.566.
  4. Transfer prices established for the services that the parent company bills to its subsidiaries.

For groups with revenue exceeding EUR 750 million, the Domestic Minimum Supplementary Tax is also taken into account.
